Welcome to Stickifax!

These Terms of Use govern your access to and use of Stickifax and provide information about the Stickifax Service as outlined below. When you create an account with Stickifax or use Stickifax, you agree to these terms.

The Stickifax Service is provided to you by Stickifax Ltd. These Terms of Use therefore constitute an agreement between you and Stickifax Ltd.

The Stickifax Service

We agree to provide you with the Stickifax Service. The Service includes all of the Stickifax products, features, applications, services, technologies, and software that we provide to advance Stickifax's mission: To bring you closer to the people and things you love. The Service is made up of the following aspects (the Service):

  • Providing personalized means to connect, communicate, discover, create, and share.
    People have different interests, some of which change from time to time. We want to help strengthen relationships and even create new ones through mutual interests you currently nurture, as well as shared experiences. Hence, we provide a service that tries to figure out who and what you and others care about, and use that information to help you find and join communities, discover, and also share knowledge in subject matters and experiences that matter to you. Part of that is highlighting content, features, communities and accounts that might interest you, and providing ways for you to experience Stickifax, based on things you and others do on and off Stickifax.
  • Nurturing an inclusive, positive and safe environment.
    We work to combat abuse and violations of our Terms and policies, as well as harmful behaviour. We use all the information we have — including yours — to try to keep our platform secure. We may also share information about misuse or harmful content with law enforcement. Learn more in our Privacy Policy.
  • Developing and using technologies that help us consistently serve our growing community.
    Collecting, coordinating, and analyzing information for a growing community is central to our Service. A key part of our Service is the use of front-line technologies which help us personalize, protect, and build on our Service on a large scale for a global community. Automated technologies help us ensure the functionality and solidarity of our Service.
  • Supplying a stable global infrastructure for our Service.
    To provide our global Service, we must store and transfer data across systems around the world, including outside of your country of residence. This infrastructure may be owned or operated by other parties.

The Privacy Policy

Our Privacy Policy describes how we handle the information you provide to us when you use our Services. You understand that through your use of the Services that you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States, Ireland, and/or other countries for storage, processing and use by Stickifax and its affiliates. You must agree to the Privacy Policy to use Stickifax.


Your Commitments

You may use the Services only if you agree to form a binding contract with Stickifax. In return for our commitment to provide the Service, we require you to make the commitments below to us.

Who Can Use Stickifax. We need you to commit to a few restrictions in order to be part of the Stickifax community because we want it to be safe, secure, and in accordance with the law. This is so as to allow our Service to be as open and inclusive as possible.
  • You must not have been barred from receiving any aspect of our Service under applicable laws.
  • You must be at least 13 years old or the minimum legal age in your country to use Stickifax.
  • We must not have previously disabled your account for violation of law or any of our policies.
  • You must not be a convicted sex offender.

By using the Services, you agree that Stickifax's liability is limited to the maximum extent permissible in your country of residence.

How You Can't Use Stickifax. Providing a safe and open Service for a broad community requires that we all do our part.
  • You can't impersonate others or provide inaccurate information.
    You are not compelled to disclose your identity on Stickifax, but you must provide us with accurate and current information right from registration. Also, you may impersonate neither someone you aren't nor an entity you haven't been permitted to represent, and you can't create an account for another person or an entity without their express permission.
  • You can't violate (or help or encourage others to violate) these Terms or our policies.
  • You can't do anything illegal, misleading, or fraudulent or for an unauthorized purpose.
  • You can't do anything to interfere with or impair the intended operation of the Service.
  • You can't attempt to access or collect data, or interact with the Service in unauthorized ways.
    Examples of this include collecting information or creating accounts in an automated way without our express permission.
  • You can't post private or confidential information or do anything that violates someone else's rights, including intellectual property.
    If you believe that your content has been copied in a way that constitutes copyright or intellectual property rights infringement, information regarding the process for reporting or appealing violations can be found here.
  • You can't attempt to carry out transactions by either buying or selling, or transfer any aspect of your account (including your username) or collect, solicit, or use login credentials or parameters of other users.
  • You can't use a domain name or URL in your username without having obtained our written consent.
Permissions You Give to Us. You give us permissions that we need to provide the Service.
  • You grant us a license to use your content, but we claim no ownership of it.
    By submitting, posting, or displaying content that is covered by intellectual property rights (like photos or videos) on or through the Service, you grant us a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to host, use, copy, distribute, modify, reproduce, run, process, adapt, publish, transmit, translate, publicly display, and distribute such Content in any and all media or distribution methods (now known or later developed). This license authorizes us to make your Content available to the rest of the world and to let others do the same. You can end this license anytime by deleting your content or account. However, content will continue to appear if you shared it with others and they have not deleted it.
    You agree that this license includes the right for Stickifax to provide, promote, and improve the Services and to make content submitted to or through the Services available to other companies, organizations or individuals for the syndication, broadcast, distribution, promotion or publication of such Content on other media and services, subject to our terms and conditions for such Content use. Such additional uses by Stickifax, or other companies, organizations or individuals, may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Services. We do not claim ownership of your content that you post on or through the Service.
  • Permission to use your profile data, and information about your relationships and all other interactions.
    You give us permission to show your username, profile picture, and information about your actions (such as likes) or relationships (such as follows) next to or in connection with accounts, offers, and other content that you follow or with which you engage, without any compensation to you. Actions on content, follows of accounts, and other actions and interactions can be seen only by people who have permission to see that content or interaction.
  • Permission to perform operations on your device.
    You agree that we can download and install updates to the Service on your device.

Additional Rights We Reserve

  • We retain the right to change a username or similar identifier you may have selected for your account, if we believe it is appropriate or necessary (for instance, if it infringes upon a person's intellectual property or impersonates another user).
  • We retain all rights to content covered by intellectual property rights that we have and make available which you might use in our Service (for example, images or designs we provide that you add to content you create or share), but not to yours.
  • You may only use our intellectual property and trademarks or similar marks as expressly permitted by us in these terms or our policies, or with our prior written permission.

Content on the Services

  • You are responsible for your use of the Services and for any Content you provide, including compliance with applicable laws, rules, and regulations. You should only provide Content that you are comfortable sharing with others.
  • Any use or reliance on any Content or materials posted via the Services or obtained by you through the Services is at your own risk. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services. You understand that by using the Services, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. All Content is the sole responsibility of the person who originated such Content. We may not monitor or control the Content posted via the Services and, we cannot take responsibility for such Content.
  • We reserve the right to remove content that violates these Terms or our policies (including the Stickifax Community Guidelines) such as, for example, copyright or trademark violations, impersonation, unlawful conduct, or harassment. Also, we can remove any content or information you share on the Service if we are required or permitted to do so by law. We can refuse to provide or stop providing all or part of the Service to you (including terminating or disabling your account) immediately to protect our community or services. See Content Removal, Disabling or Terminating Your Account, and Ending These Terms below for more on removal of content or information, and refusal to provide you with Services.

Your Rights and Grant of Rights in the Content

  • You retain your rights to any content you submit, post, or display on or through the Services. You own your content (and your incorporated audio, photos, and videos are considered part of the Content). By submitting, posting, or displaying content on or through the Services, you grant us a worldwide, non-exclusive, transferable, sub-licensable, royalty-free license to use, modify, copy, reproduce, process, adapt, publish, transmit, display, and distribute such content in any and all media or distribution methods (now known or later developed). This license authorizes us to make your content available to the rest of the world and to let others do the same. You agree that this license includes the right for Stickifax to provide, promote, and improve the Services and to make content submitted to or through the Services available to other companies, organizations, or individuals for the broadcast, syndication, distribution, promotion, or publication of such content on other media and services, subject to our terms and conditions for such content use. Such additional uses by Stickifax, or other companies, organizations or individuals, may be made with no compensation paid to you with respect to the content that you submit, post, transmit or otherwise make available through the Services.
  • You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power, and/or authority necessary to grant the rights granted herein for any content that you submit, post, or display on or through the Services. You agree that such content will not contain material subject to copyright or other proprietary rights, unless you have necessary permission or are otherwise legally entitled to post the material and to grant Stickifax the license described above.

Using the Services

  • Your Account
    You may need to create an account to use some of our Services. You are responsible for safeguarding your account, so endeavour to use a strong password and limit its use to this account. We cannot and will not be liable for any damage or loss arising from your failure to comply with the above.
    You can control most communications from the Services. We may need to provide you with certain communications, such as administrative messages and service announcements. These communications are considered part of your account and the Services, and you may not be able to opt-out from receiving them. If your contact information (such as your email address or phone number) added to your account is later no longer in use, you must update your account information to help prevent us from communicating with anyone who acquires your old contact information.
  • Your License to Use the Services
    Stickifax gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you as part of the Services. This license has the sole purpose of enabling you to use and enjoy the benefits of the Services as provided by Stickifax, in the manner permitted by these Terms.
    Nothing in the Terms gives you a right to use the Stickifax name or any of the Stickifax trademarks, logos, domain names, and other distinctive brand features. All rights, title, and interest in and to the Services (excluding Content provided by users) are and will remain the exclusive property of Stickifax and its licensors. Any feedback or other suggestions you may provide regarding Stickifax or the Services is entirely voluntary, and we will be free to use them as we see fit and without any restrictions or obligation to compensate you for them, and we are under no obligation to keep them confidential.

Content Removal, Disabling or Terminating Your Account, and Ending These Terms

  • Content you delete may persist for a limited period of time in backup copies and will still be visible where others have shared it. This paragraph, and the section below called "The Agreement Between Us and Handling Disputes", will still apply even after your account is terminated or deleted.
  • You may end your legal agreement with Stickifax at any time by deleting your accounts and discontinuing your use of the Services. See How to Delete Your Account for instructions on how to delete your account and the Privacy Policy for more information on what happens to your information.
    We may suspend or terminate your account, remove any content or information you share on the Service, refuse to provide, or cease providing you with all or part of the Services at any time for any or no reason, including, but not limited to, if we reasonably believe:
    1. you have violated these Terms or the Stickifax Community Guidelines, or other guidelines we have set;
    2. you create risk or legal exposure for us;
    3. your account should be removed due to prolonged inactivity;
    4. you repeatedly infringe other people's intellectual property rights; or
    5. our provision of the Services to you is no longer commercially viable.
    In all such cases, the Terms shall terminate, including, without limitation, your license to use the Services.
    If we take action to disable or terminate your account, we will make efforts to notify you where, in our sole discretion, is necessary or appropriate.

The Agreement Between Us and Handling Disputes

The Agreement Between Us.
  • If any aspect of this agreement is unenforceable, the rest will remain in effect.
  • Any amendment or waiver to our agreement must be in writing and signed by us. If we fail to enforce any aspect of this agreement, it will not be a waiver.
  • We reserve all rights not expressly granted to you.
Ownership of Rights Under this Agreement.
  • You cannot transfer your rights or obligations under this agreement without our consent.
  • This agreement does not give rights to any third parties.
  • Our rights and obligations can be assigned to others. For example, this could occur if our ownership changes (as in a merger, acquisition, or sale of assets) or by law.

Disclaimers and Limitations of Liability.
  • Your access to and use of the Services or any content are at your own risk. You understand and agree that the Services are provided to you on an “AS IS” and “AS AVAILABLE” basis. The “Stickifax Entities” refers to Stickifax, its parents, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors. Without limiting the foregoing, to the maximum extent permitted under applicable law, THE STICKIFAX ENTITIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. The Stickifax Entities make no warranty or representation and disclaim all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Content; (ii) any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; and (iv) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from the Stickifax Entities or through the Services, will create any warranty or representation not expressly made herein.
  • We do not control what people, companies, and others do or say, and we are not responsible for their — or your — actions or conduct (online or offline) or content (including unlawful or objectionable content). We are also not responsible for any services and features offered by other people or companies, even if you access them through our Service.
  • Our responsibility for anything that happens on the Service (also called "liability") is limited to the maximum extent permissible by the law. If there is an issue with our Service, we can't know what all the possible impacts might be. You agree that we won't be responsible ("liable") for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we know they are possible. This includes when we delete your content, information, or account.
Handling Disputes.
In all cases, you agree that any claim, cause of action, or dispute you have against us which arises out of or relates to these Terms ("claim") must be resolved exclusively in a court of competent jurisdiction in Lagos, Nigeria by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association then in effect and before a single arbitrator chosen by Stickifax, that you submit to the personal jurisdiction of any of these courts for the purpose of litigating any such claim, and that the substantive laws, without regard to choice of law rules, of the State of Lagos will govern these Terms and any claim, without regard to conflict of law provisions.
In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. Twitter’s failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. These Terms are an agreement between you and Stickifax Ltd., with its registered office at 201 Road, 2nd Avenue, Festac Town, Lagos. If you have any questions about these Terms, please contact us.


Updating These Terms

We may revise our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. Unless otherwise required by law, we will try to notify you — for example, by sending an email to the email associated with your account — before we make changes to these Terms and give you an opportunity to review them before they go into effect. The changes will not be retroactive, and the most current version of the Terms will govern our relationship with you. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account.
